Legal Response Case to Non-Performance of an Outsourced Operation Agreement

1. The Client's Situation

The client was in a situation where normal operation was difficult because the counterparty, the entrusting party, had failed to meet the agreed completion deadline. Accordingly, the client requested legal advice in order to protect its contractual rights and to minimize the damage caused by the counterparty's delay.

Our firm closely reviewed the provisions of the entrusted-operation agreement and confirmed that the counterparty's delay in completion constituted a breach of its contractual obligations. On this basis, in order to clearly assert the client's rights, we prepared and sent a certified content letter (content-certified mail) to the counterparty, and established a response strategy that strongly emphasized legal liability.

Thanks to the law firm's prompt and accurate response, the counterparty acknowledged that it had not complied with its contractual obligations and, in consultation with the client, devised a concrete solution. Through this, the client was able to prevent unnecessary losses and have its contractual rights guaranteed.
