1. The Client's Situation

In the course of entering into a software license agreement, the client needed to verify the appropriateness of key clauses such as the scope of the right of use, the conditions for payment, the attribution of intellectual property rights, and the requirements for contract termination. In particular, the central issue was whether the contract structure could be adjusted so that the client would not bear unnecessary risk.

Your Legal Team reviewed the contract and confirmed that the provisions on the scope of the license and use restrictions were at a general level, and determined that the payment structure and the liquidated-damages provisions were acceptable to the extent that they did not impose an excessive burden on the client. However, we pointed out the parts of the clauses on the attribution of intellectual property rights and the use of confidential information where the client's rights could be unnecessarily restricted, and proposed a measure to clearly secure those rights through a separate written agreement. 3. Outcome

The client was able to clearly understand its contractual rights and obligations and, by reflecting the necessary amendments during the negotiation process, to establish a more stable contract structure. Through this, it achieved the result of securing the software right of use while simultaneously reducing the risk of unnecessary legal disputes.
