1. The Client's Situation

A domestic advanced-materials company was pursuing discussions on the joint development of a new material film for displays together with technology-cooperation partners in Japan and the United States. However, because the exchange of key technical materials and samples was scheduled, it needed to conclude a prompt and thorough non-disclosure agreement (NDA) to prevent technology leakage and ensure legal protection. In particular, since this was a tripartite contract involving corporations in each country, securing legal requirements and textual consistency was an important task.

After receiving a draft from the client, Your Legal Team reviewed the relevant legal risks and supplemented protective clauses that had been omitted in practice. For key issues that commonly arise in tripartite NDAs, such as ownership of information, extraterritorial scope of application, and the permitted scope of provision to third parties, we presented adjustment proposals through structural organization. In addition, considering that the agreement included the application of Japanese law and an international arbitration clause, we put the contract in order in a way that simultaneously secured language acceptable to each party and legal effect.

3. Outcome

The client secured trust in the contract text in its discussions with the partners in each country, and by concluding the NDA within a short period, was able to commence the sharing of technical materials. Through this, the joint-development discussions could proceed without disruption, and the client gained the practical benefit of also securing legal protection for its own technological assets.
