1. Overview of the Case

Law Firm Insight represented a landowner (the defendant) against whom a lawsuit seeking cancellation of a mortgage (right to collateral security) registration had been filed, in a situation where legal disputes had continued for nearly ten years due to a cooperative's (association's) failure to pay the down payment and balance during the performance of a land sale-and-purchase contract. When the cooperative failed to pay the purchase price, the client (the defendant) applied for an auction of the collateral real estate; in response, the plaintiff filed a lawsuit to cancel the mortgage-establishment registration and filed a criminal complaint against the client on charges of breach of trust.

2. Key Issues and Response

In this case, the core of the dispute was the issue of performance of the land sale-and-purchase contract and the validity of the collateral right established in connection with it. Our firm responded to the civil litigation while simultaneously representing the client in drafting a comprehensive settlement agreement that could resolve all of the disputes at once. While closely analyzing each party's core interests (land ownership, the progress of the development project, and the elimination of legal risk), we designed a settlement proposal favorable to the client.

Our firm proposed a method of dividing the land that was the subject of the dispute, transferring ownership of a portion of the land using the down payment already paid, and transferring the remaining divided land on the condition of payment of an additional amount. In exchange for the counterparty withdrawing the mortgage-cancellation lawsuit it had filed, the client prepared a settlement proposal under which it would cancel the established mortgage, and the settlement conditions even included the withdrawal of the criminal complaint for breach of trust that the cooperative had filed.

To secure the stability of the settlement, we inserted a clause requiring payment of a penalty if the defendant were to file additional lawsuits or complaints after the settlement, as well as a confidentiality clause.

3. Result and Significance

Through this settlement, a long-running dispute that had continued for more than ten years over the land sale-and-purchase was brought to an end. This is a success story in which a complex matter entangling various legal problems - civil litigation, criminal complaint, and breach of contract - was resolved all at once through a single settlement agreement, thereby saving the lengthy litigation process and the costs that would have accompanied it.
