1. The Client's Situation
A mid-sized domestic company about to enter into an equipment purchase contract with an overseas manufacturer was struggling to draft the contract in a situation that demanded high technical precision, strict adherence to delivery deadlines, and post-delivery support. In particular, it had been asked to prepare the contract in English, but internally lacked specialized capabilities in international contracts, raising concerns about legal risk.
2. The Advice of Your Legal Team
Based on the client's key requirements, Your Legal Team systematically reviewed the risks of the contract's principal clauses (liquidated damages for delay, inspection and defect remediation, product liability, dispute resolution, etc.). In addition, taking into account the international nature of the contract, we designed a contract structure conforming to global standards by, among other things, applying the United Nations Convention on Contracts for the International Sale of Goods (CISG) as the governing law and designating the Singapore International Arbitration Centre (SIAC) as the venue for dispute resolution. Above all, by directly drafting an original English-language contract that both the domestic and overseas parties could use simultaneously, we facilitated smooth negotiation and execution in practice.
3. The Result
Through Your Legal Team's advice, the client was able to establish a contract structure that reduced the scope for misunderstanding between the contracting parties and allowed for clear responses in the event of delivery delays or quality problems. In particular, by also providing an English-language contract, practical negotiations with the overseas supplier proceeded swiftly, and the legal risks associated with the international transaction were effectively reduced.
